Terms of Service

Version: 2026-10-30

Effective Date: October 30, 2026

Last Updated: October 30, 2026

These Terms of Service (the "Terms") govern access to and use of the WealthPath website, application, and related digital services (together, the "Platform"), whether you visit while signed out or use the Platform through an account.

The Platform is operated by the Operator of WealthPath ("WealthPath," "we," "us," or "our").

You accept these Terms when you confirm your agreement during onboarding or through another express acceptance process. Acceptance is required to complete onboarding and use the account-based services governed by these Terms. Reading a public page, including these Terms or the Privacy Policy, does not by itself constitute acceptance of the account-service terms.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to create an account or use account-based services.

The Platform is currently designed for users whose circumstances can be supported under WealthPath's service model. We may decline, limit, or discontinue access where legal, regulatory, operational, eligibility, or security requirements make this necessary.

2. Accounts and Security

Some parts of the Platform require you to sign in through a supported identity provider. You are responsible for:

  • providing accurate, complete, and current information;
  • keeping your sign-in credentials and devices secure;
  • promptly updating information that affects your financial profile or the suitability of any guidance; and
  • notifying us at regulatory@wealthpath.ch if you suspect unauthorized access or misuse.

You may not share an account in a way that misrepresents identity or prevents us from meeting our legal and regulatory obligations. We may rely on activity that reasonably appears to come from your account until you notify us of suspected misuse.

3. What the Platform Provides

The Platform may provide tools for financial profiling, portfolio import, recording and visualization, risk assessment, portfolio construction, calculators, market information, educational content, AI-assisted conversations, document delivery, and communication with an adviser.

Platform features may change over time. Features described on the Platform are available only where enabled for your account and may be experimental, limited, or withdrawn, subject to the protections for paid services in Section 14.

4. General Information and Personal Investment Advice

The Platform uses your profile and financial information to personalize analysis, calculations, and automated responses. Personalization alone does not mean that an adviser has reviewed or confirmed an output as personal investment advice.

Personal investment advice is provided within the scope of an applicable investment advisory agreement during telephone, video, or in-person consultations with the adviser, or through research, analysis, or written recommendations expressly reviewed and confirmed by the adviser as "Personal Investment Advice." Automated outputs cannot be treated as confirmed personal investment advice unless an adviser has expressly reviewed and confirmed them. General educational material, market information, calculators, simulations, portfolio visualizations, and unconfirmed automated outputs are provided for information and decision support and do not constitute confirmed personal investment advice.

The Platform does not provide legal, tax, or accounting advice unless separately and expressly agreed. No output guarantees that an investment is suitable for you or will achieve a particular result.

If you enter into a separate investment advisory agreement with us, that agreement and the Regulatory Disclosure & Client Information also apply. The investment advisory agreement takes priority over these Terms for the advisory service and any Platform access included in that agreement.

Nothing in these Terms changes the legal classification of a service where mandatory law provides otherwise.

5. No Custody, Brokerage, or Trade Execution

We do not hold client money or financial instruments, provide bank or brokerage accounts, transmit orders, or execute trades. We do not have authority over your bank or brokerage accounts and do not provide discretionary portfolio management through the Platform.

You make all final investment decisions and execute transactions through a bank, broker, custodian, or other provider of your choice. Their terms, fees, systems, and decisions are separate from WealthPath.

Unless expressly agreed in writing, we do not continuously monitor your portfolio, transactions, financial circumstances, or markets, and we have no obligation to initiate contact, issue alerts, rebalance a portfolio, or update a previous output.

6. Investment Risk and Your Decisions

Investing involves risk, including market, currency, interest-rate, credit, liquidity, concentration, and operational risks and the possible loss of some or all invested capital. Past performance, historical data, forecasts, simulations, and modeled returns do not guarantee future results.

Before acting, you are responsible for reviewing the assumptions and limitations shown, considering whether information remains current, and obtaining qualified legal, tax, accounting, or other professional advice where appropriate. You should not invest money you cannot afford to lose or that you need in the near term based only on Platform output.

7. Automated Tools and AI

The Platform uses rules, calculations, optimization methods, and third-party AI models to generate assessments and responses. These systems can be incomplete, outdated, inconsistent, or wrong. AI-generated text may sound confident even when it is inaccurate.

Automated tools may use information in your WealthPath profile, questionnaire responses, saved portfolios, and the screen you are viewing to make output more relevant. They may influence displayed risk classifications, asset eligibility, portfolio illustrations, or other recommendations, but they do not execute transactions or independently determine your legal rights.

Do not treat automated output as the sole basis for a material financial decision. You may ask us to explain an assessment or request review by a person by contacting regulatory@wealthpath.ch.

Portfolio import uses automated extraction and instrument matching that can produce incomplete or incorrect results. You must review and correct extracted holdings, quantities, prices, values, currencies, and instrument matches before confirming an import or relying on its analysis. An imported portfolio is a snapshot of the information supplied, not a live connection to your bank or broker, and it does not update automatically when your actual holdings change. The Privacy Policy describes external processing of uploaded files.

8. Your Information and Instructions

The usefulness of the Platform depends on the information you provide. You agree to:

  • provide information that is accurate and not misleading;
  • review and update material changes to your income, assets, liabilities, tax residence, goals, time horizon, liquidity needs, knowledge, experience, and risk tolerance;
  • independently check transaction details before acting; and
  • avoid entering information about another person unless you are authorized to do so and have a lawful basis.

You must have the rights and authority needed to upload any broker statement, screenshot, or other document. Remove unrelated material and unnecessary personal details where practical.

Required information is identified during onboarding and when you request a feature or service. If you do not provide it, you may be unable to complete onboarding or use the relevant feature. If information is insufficient for an assessment required for personal investment advice, we will inform you and may decline to provide the requested recommendation until adequate information is available. Not every field required by a form is independently required by law.

We may rely on the most recent information available to us unless we know, or reasonably should know, that it is incomplete, inaccurate, or outdated.

9. Acceptable Use

You must not:

  • use the Platform unlawfully, fraudulently, or to harm another person;
  • impersonate another person or misrepresent your authority;
  • attempt to gain unauthorized access to accounts, data, systems, or restricted areas;
  • interfere with security, availability, rate limits, or normal operation;
  • introduce malware or use automated means to scrape, probe, or overload the Platform without written permission;
  • reverse engineer or extract source code except to the extent such a restriction is prohibited by law;
  • use Platform content or output to build or train a competing model or service without written permission; or
  • use the Platform to give regulated financial services to others unless separately authorized in writing and legally permitted.

We may investigate suspected misuse and take proportionate steps to protect users, the Platform, and third parties.

10. Your Content

You retain ownership of information and material you submit to the Platform ("User Content"). You grant us a non-exclusive right to host, copy, process, transmit, and display User Content only as reasonably necessary to operate, secure, support, and improve the Platform, provide requested services, and comply with law.

You represent that you have the rights and authority needed to submit User Content. Our handling of personal data is described in the Privacy Policy.

This permission is subject to the Privacy Policy and does not independently authorize us to publish private submissions, use them for unrelated purposes, or use them to train AI models. It continues only for as long as needed for the permitted purposes, including any applicable retention obligations.

11. WealthPath Content and Intellectual Property

The Platform, including its software, design, text, methodologies, graphics, and branding, is owned by WealthPath or its licensors and is protected by applicable intellectual-property laws.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable right to use the Platform for your own lawful purposes. No ownership rights are transferred to you.

You may retain documents and reports made available to you for your personal records. You may not sell, republish, or commercially exploit Platform content without written permission, except where mandatory law permits it.

12. Third-Party Services, Data, and Links

The Platform relies on third-party providers for services such as sign-in, authentication, hosting, database infrastructure, market data, email delivery, and AI model access. Third-party services may be unavailable, delayed, inaccurate, or subject to their own terms and privacy notices.

Links to third-party websites are provided for convenience and do not imply endorsement. We do not control third-party content, security, availability, or business practices.

Market data may be delayed, adjusted, incomplete, or affected by provider methodology. It is not an official quotation and should be checked with your bank, broker, or another authoritative source before a transaction.

13. Fees and Paid Services

Some services or features may require payment. Applicable fees, billing periods, taxes, renewal terms, and cancellation terms will be shown before purchase or set out in a separate agreement or order. You are not charged merely by visiting the public portions of the Platform.

Where a separate investment advisory agreement, fee schedule, or order applies, it governs the relevant fees, service period, renewal, consultation allowance, cancellation charges, refunds, and outstanding amounts. These Terms do not change those agreed commercial terms. No additional paid work is authorized merely because you use a free feature or submit feedback.

14. Availability and Changes to the Platform

We aim to operate the Platform with reasonable care but do not promise uninterrupted or error-free availability. Maintenance, security events, provider outages, legal requirements, or other circumstances may delay, restrict, or prevent access.

We may modify, suspend, or discontinue a feature or the Platform. For a planned change that materially reduces an active paid service, we will give at least 30 days' notice. A security incident, legal requirement, or other urgent circumstance may require an immediate change; in that case, we will notify affected users as soon as reasonably practicable.

If a material reduction affects a service you have prepaid for, you may terminate the affected service. The applicable separate agreement or order governs refunds and other termination consequences. If it does not address the reduction, we will refund the prepaid fees attributable to the unused portion of the affected service. Temporary interruptions do not automatically constitute a material reduction. Nothing in this Section limits mandatory remedies for failure to provide an agreed service.

15. Suspension and Termination

You may stop using the Platform at any time and may request account closure by contacting regulatory@wealthpath.ch.

Closing an account, cancelling a scheduled consultation, terminating an advisory agreement, and stopping renewal are separate requests. If you intend to end a paid service or advisory relationship as well as close your account, state that in your request so we can process both. Termination rights, refunds, unused consultation time, and outstanding charges are governed by the applicable agreement or order. Account closure does not itself waive an amount already due or alter any mandatory termination right.

We may restrict, suspend, or terminate access if you materially breach these Terms, create a security or legal risk, fail to meet eligibility requirements, or if continued service is not reasonably practicable. Where appropriate, we will give notice and an opportunity to remedy the issue.

If we end or materially restrict a paid service for reasons unrelated to your breach, the notice and prepaid-fee provisions in Section 14 apply, subject to any controlling separate agreement. Suspension for a security investigation does not by itself determine whether fees are due or refundable.

Account closure does not require us to delete information that must be retained for legal, regulatory, accounting, dispute-resolution, or security purposes. The Privacy Policy explains retention in more detail.

16. Disclaimers

To the extent permitted by law, the Platform is provided "as is" and "as available." We do not warrant that the Platform or any content, calculation, market data, model output, or third-party service will be uninterrupted, complete, accurate, current, secure, or suitable for a particular purpose.

Nothing in these Terms excludes duties or warranties that cannot lawfully be excluded, including duties applicable to personal investment advice expressly accepted under a separate advisory agreement.

17. Limitation of Liability

Nothing in these Terms excludes or limits liability for unlawful intent, gross negligence, death or personal injury caused by negligence, breach of a mandatory legal duty, or any other liability that cannot be excluded or limited under applicable law.

Subject to the preceding paragraph and to the extent permitted by law:

  • liability for indirect, incidental, special, or consequential loss, lost profits, and lost opportunity is excluded;
  • we are not liable for losses caused solely by market movements, your independent decisions, inaccurate or outdated information you supplied, or execution, custody, or other acts of an independent bank or broker, except to the extent our breach of duty caused or contributed to the loss;
  • using an AI, hosting, authentication, market-data, or other provider to deliver our service does not by itself exclude liability for our own breach of duty. Any responsibility for providers performing our obligations remains subject to applicable law and the limitations in this Section; and
  • our aggregate liability arising from the Platform under these Terms will not exceed the total amount you paid us before the event giving rise to the claim. If you have paid us nothing, that cap is zero, subject to the liabilities that cannot be limited or excluded as stated above.

Any different liability terms in an applicable investment advisory agreement govern claims arising from the regulated advisory service.

18. Changes to These Terms

We may update these Terms to reflect changes in the Platform, law, security requirements, or our practices. The version and last-updated date appear above.

For material changes affecting account holders, we will notify you through the Platform, by email, or through another appropriate channel at least 30 days before the stated effective date. An urgent legal or security requirement may necessitate a shorter notice period, which we will explain in the notice. Changes apply prospectively and do not alter rights or claims arising before their effective date.

The notice will identify the changes and explain how they take effect. Where permitted by applicable law, continuing to use the affected account-based services after the effective date constitutes acceptance of the notified changes. Where express acceptance is required, we will request it. Merely reading public pages does not constitute acceptance.

If you do not agree to revised Terms, you may stop using the affected services and request closure or termination. Section 14 applies if the changes materially reduce a prepaid service. Updates to these Terms do not amend a separate investment advisory agreement, fee schedule, or order; amendments to those documents follow their own agreed procedures.

19. Governing Law and Jurisdiction

These Terms and non-contractual obligations arising from them are governed by Swiss substantive law, excluding its conflict-of-laws rules.

Mandatory statutory places of jurisdiction and consumer protections remain reserved. Subject to those mandatory provisions, the courts at the operator's domicile or place of business in the Canton of Zurich, Switzerland, have exclusive jurisdiction.

20. General Terms

If a provision of these Terms is invalid or unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not transfer your rights or obligations under these Terms without our written consent. We may transfer these Terms as part of a reorganization or transfer of the Platform, provided your mandatory rights are not reduced.

These Terms, together with documents expressly incorporated by reference, form the agreement governing general use of the Platform. Separate agreements may apply to specific services.
